PART ONE: SERVICES & STORE TERMS

These terms govern all purchases, engagements, sessions, workshops, and services offered through Gower Idrees Organization (“GIO”). By purchasing, scheduling, attending, or participating in any service, you agree to be bound by these terms.

1. Services

Gower Idrees Organization provides strategic advisory services, executive coaching, strategic planning, facilitation, workshops, executive interventions, leadership development, business optimization services, organizational assessments, and related consulting services.

Services may include:

• Executive Strategy Sessions

• Strategic Planning Sessions

• Executive Interventions

• Leadership Facilitation

• Workshops

• Team Alignment Sessions

• Advisory Services

• On-Site Engagements

• Off-Site Engagements

• Executive Intensives

• Coaching Programs

• Monthly Advisory Relationships

• Special Projects

All services are advisory in nature.

2. Executive Interventions

Executive Interventions are intensive working sessions designed to create clarity, identify obstacles, align leadership, improve decision-making, uncover opportunities, and accelerate organizational progress.

Interventions may be conducted:

• At the Client’s facility

• At a mutually agreed off-site location

• Virtually

• Through a hybrid format

The Client acknowledges that interventions are designed to facilitate insight, alignment, planning, prioritization, and decision support. Implementation remains the responsibility of the Client.

3. Strategy Sessions

Strategy Sessions are typically ninety (90) minutes unless otherwise specified.

Packages may include:

• Single Session

• Two Session Package

• Four Session Package

• Monthly Advisory Relationship

• Custom Engagement

Sessions must be scheduled within twelve (12) months of purchase unless otherwise agreed in writing. Unused sessions are forfeited after expiration.

4. Monthly Advisory Engagements

Monthly engagements are recurring advisory relationships. Unless otherwise specified:

• Fees are billed monthly

• Services do not roll forward indefinitely

• Unused time may be forfeited

• Monthly availability is reserved in advance

• Either party may terminate a month-to-month relationship upon written notice

Termination does not create refund rights.

5. Scope of Services

Services are limited to the specific engagement purchased. Unless specifically stated in writing, fees do not include:

• Implementation work

• Project management

• Software development

• Accounting services

• Legal services

• HR services

• Recruiting

• Marketing execution

• Financial auditing

• Engineering services

• Operational management

Additional services require separate authorization and additional fees.

6. Travel — Venue Selection & Location Surcharges

Unless otherwise stated, engagement fees include standard travel and lodging expenses as reasonably determined by Gower Idrees Organization. Pricing assumes the engagement will occur either at the Client’s primary business location or at a reasonably accessible off-site location within a typical business travel environment.

Additional travel fees, surcharges, or adjustments may apply when:

• The Client selects a premium or destination venue

• The engagement is held at a resort, retreat center, luxury property, or specialty venue

• The engagement location is remote or difficult to access

• Significant ground transportation is required beyond a major airport

• Ferry, charter, helicopter, watercraft, or specialized transportation is required

• The engagement requires multiple travel segments or extended travel time

• The engagement occurs internationally

• The Client changes the venue after the engagement is booked

Gower Idrees Organization reserves the right to assess a reasonable travel surcharge when venue selection, accessibility, logistics, or travel time materially increases the cost or complexity of delivery. Any anticipated surcharge will be communicated to the Client as soon as reasonably practical. Client is responsible for approving and paying any applicable travel surcharge before the engagement begins.

7. Client Responsibilities

Client agrees to:

• Provide timely access to information

• Ensure participation by appropriate stakeholders

• Provide a safe working environment

• Make decisions necessary to move the engagement forward

• Cooperate in good faith

Failure to do so may impact results and delivery.

8. No Refunds

All purchases are final. Due to scheduling commitments, reserved consulting capacity, preparation time, travel arrangements, and opportunity costs, no refunds shall be issued unless otherwise expressly provided under the Clarity Guarantee described in Section 10.

Bookings are non-transferable and may not be canceled or rescheduled without written approval from Gower Idrees Organization.

9. Rescheduling

Rescheduling requests made less than forty-eight (48) hours before a scheduled session may be denied. Missed sessions may be forfeited. Travel-related engagements that require itinerary changes may incur additional fees.

10. Clarity Guarantee

Gower Idrees takes his work seriously. At this stage of his life, he chooses to work with a limited number of organizations and approaches every engagement with the intention of creating meaningful value, clarity, insight, direction, and opportunity.

If, at the conclusion of an engagement, a Client genuinely believes meaningful value was not created, the Client may communicate those concerns directly to Gower.

Following review of the engagement, Gower Idrees Organization may, at its sole discretion:

• Refund all or a portion of the fees paid; or

• Deliver a comprehensive strategic review, assessment, written report, video walkthrough, or executive briefing outlining observations, opportunities, structural constraints, strategic priorities, recommended actions, key decisions, risks, and areas of potential improvement

The intention of this guarantee is simple: the Client will either receive substantial value from the engagement, or receive a meaningful transfer of strategic thinking.

This guarantee shall not be interpreted as a guarantee of financial performance, profits, savings, revenue growth, operational improvements, business success, or any specific outcome.

11. No Guarantee of Results

The Client acknowledges that business outcomes vary and depend on implementation, leadership decisions, market conditions, and organizational commitment. Accordingly, Gower Idrees Organization makes no guarantees regarding revenue, profitability, savings, cost reduction, employee performance, shareholder value, valuation increases, operational efficiency, growth, or business success.

12. Intellectual Property

All methodologies, frameworks, concepts, tools, presentations, worksheets, templates, materials, systems, processes, and related intellectual property remain the exclusive property of Gower Idrees Organization. No ownership rights are transferred. Client receives a limited, non-exclusive, non-transferable license for internal business use only.

13. Recording Restrictions

No recording, filming, broadcasting, reproducing, publishing, selling, licensing, distributing, or commercial use of any session, workshop, intervention, or materials is permitted without written authorization from Gower Idrees Organization.

14. Confidentiality

Both parties agree to maintain confidentiality regarding proprietary, financial, strategic, operational, and business information disclosed during the engagement. This obligation survives termination of the engagement.

15. Independent Contractor

Gower Idrees Organization is an independent contractor. Nothing herein creates employment, partnership, joint venture, agency, or fiduciary relationship between the parties.

16. Limitation of Liability

To the fullest extent permitted by law, Gower Idrees Organization, its owners, officers, contractors, representatives, affiliates, successors, and assigns shall not be liable for lost profits, lost revenue, lost opportunities, business interruption, special, consequential, indirect, punitive, or exemplary damages arising from or related to any engagement.

Client acknowledges that all recommendations are advisory in nature and that all business decisions remain solely the responsibility of Client. Maximum liability for any claim shall not exceed the fees paid by Client for the specific engagement giving rise to the claim.

17. Force Majeure

Gower Idrees Organization shall not be liable for delays, interruptions, cancellations, or inability to perform resulting from weather, illness, injury, travel disruptions, government actions, natural disasters, labor disputes, utility or technology failures, or events beyond reasonable control. Alternative delivery methods or rescheduling may be offered when practical.

18. Governing Law

These Terms shall be governed by the laws of the State of Oregon. Any dispute arising from these Terms shall be resolved exclusively in the courts of Oregon.

19. Entire Agreement

These Terms constitute the entire agreement regarding the purchased services and supersede all prior discussions, communications, proposals, understandings, and representations.

20. Acceptance

By purchasing, scheduling, attending, or participating in services provided by Gower Idrees Organization, Client acknowledges that they have read, understood, and agreed to these Terms and Conditions and are entering into a binding agreement.

PART TWO: WEBSITE TERMS OF USE

The following terms govern your access to and use of GowerIdrees.com (the “Website”). By browsing or using the Website, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use and our Privacy Policy.

1. Use of Website

The Website provides visitors access to information about Gower Idrees Organization and its services. Visitors may view all publicly available content for personal, non-commercial use.

Registered users who create an account may additionally inquire about or purchase products and services, access exclusive content, manage their account, and sign up for programs, alerts, and notifications.

Gower Idrees Organization is under no obligation to accept any individual as a registered user and may accept or reject any registration, or deactivate any account, at its sole discretion.

2. Community Guidelines

By accessing the Website, you agree that you will:

4. Accounts & Passwords

When creating an account, you must provide accurate and complete information. You are solely responsible for the confidentiality and use of your sign-in credentials. Gower Idrees Organization reserves the right to delete or change account credentials at any time and shall have no liability for any loss caused by such action.

5. Fees and Payment

All applicable fees and taxes are due at the time of purchase. You must provide current, complete, and accurate billing information and promptly update it as needed. You agree to pay all costs of collection, including attorney’s fees, on any outstanding balance.

6. Intellectual Property

The Website contains material including videos, coursework, photographs, software, text, graphics, images, sound recordings, and other content provided by or on behalf of Gower Idrees Organization (collectively, the “Content”). The Content is protected under United States and foreign laws.

You may view publicly available Content for personal, non-commercial use only. DIRECT DAMAGES SHALL BE LIMITED TO FEES PAID IN THE THREE (3) MONTHS PRECEDING THE EVENTS GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold Gower Idrees Organization and its officers, directors, employees, agents, successors, and assigns harmless from any damages, liabilities, losses, expenses, and claims arising from your breach of these Terms, your misuse of the Website or Content, or your violation of any third-party rights.

12. Compliance with Applicable Laws

The Website is based in the United States. If you access the Website from outside the United States, you do so at your own risk and are solely responsible for compliance with the laws of your jurisdiction.

13. Termination

Gower Idrees Organization reserves the right, in its sole discretion, to restrict, suspend, or terminate your access to all or any part of the Website at any time and for any reason without prior notice or liability.

14. Digital Millennium Copyright Act

Gower Idrees Organization respects the intellectual property rights of others and will review all claims of copyright infringement and remove Content found to be in violation of applicable laws.

15. Controlling Law

These Website Terms of Use and any action related thereto will be governed by the laws of the State of Oregon without regard to its conflict of laws provisions.

16. Binding Arbitration

In the event of a dispute arising under or relating to these Terms or the Website, either party may elect to finally and exclusively resolve the dispute by binding arbitration governed by the Federal Arbitration Act. IF EITHER PARTY CHOOSES ARBITRATION, NEITHER PARTY SHALL HAVE THE RIGHT TO LITIGATE SUCH CLAIM IN COURT OR TO HAVE A JURY TRIAL, except either party may bring a claim in its local small claims court if permitted by that court’s rules.

All disputes will be resolved before a neutral arbitrator selected jointly by the parties. The arbitration shall be conducted pursuant to JAMS Comprehensive Arbitration Rules and Procedures. If conducted in person, arbitration shall take place in Portland, Oregon.

17. Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN GOWER IDREES ORGANIZATION AND YOU INDIVIDUALLY. YOU MAY BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

18. Equitable Relief

You acknowledge that in the event of a breach or threatened violation of Gower Idrees Organization’s intellectual property rights, Gower Idrees Organization will suffer irreparable harm and will be entitled to seek injunctive relief from any court of competent jurisdiction.

19. Miscellaneous

Failure to act on or enforce any provision of these Terms shall not constitute a waiver of that provision. These Terms constitute the entire agreement between you and Gower Idrees Organization with respect to your use of the Website and supersede all prior agreements, whether written or oral. These Terms will inure to the benefit of Gower Idrees Organization’s successors, assigns, licensees, and sublicensees.
